RELM Wireless Terminates Proposed Reincorporation

WEST MELBOURNE, FL, September 24, 2015– RELM Wireless Corporation (NYSE MKT: RWC) today announced that its Board of Directors has terminated the proposed reincorporation to be voted on by its shareholders at a special meeting scheduled to be held on September 30, 2015. The special meeting of shareholders has been cancelled by the Board.

The Board reconsidered the advantages and disadvantages of the proposed reincorporation of the Company from Nevada to Delaware and concluded that it is not in the best interests of the Company and its shareholders. The Board has therefore terminated the proposed reincorporation pursuant to the terms of the Plan of Conversion previously adopted by the Board.
